Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Brandstract.ai website and services ("Services") provided by Brandstract.ai ("Brandstract", "we", "us", or "our"), including the Brandstract API, the Brand Truth Score, and all related tools and documentation. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements and that any information you provide is accurate and complete.

3. Early Access Programme

By registering your email address for early API access, you agree to receive a single notification email when API access becomes available. We will not use your email address for any other purpose without your explicit consent. You may withdraw from the programme at any time by contacting us at hello@brandstract.ai. Participation in the early access programme does not constitute a guarantee of access to the Services or of any particular pricing, features, or availability date.

4. API Access and Usage

Access to the Brandstract API is subject to separate API terms, usage limits, and rate limits that will be provided at the time access is granted. You are responsible for maintaining the security of any API keys or credentials issued to you and for all activity conducted under your credentials. You must notify us immediately at hello@brandstract.ai if you suspect unauthorised use of your credentials. Brandstract reserves the right to suspend or terminate API access for breach of these Terms or API-specific terms, abuse, or threats to the security or stability of the Services.

5. Intellectual Property

The Services and their entire contents, features, and functionality — including all text, graphics, logos, trade marks, software, algorithms, models, and data outputs — are owned by Brandstract or its licensors and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purposes.

You may not reproduce, distribute, modify, adapt, translate, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of our Services without our prior written consent, except as expressly permitted by these Terms or applicable law.

You retain ownership of any data or content you provide to the Services. By using the Services, you grant Brandstract a limited licence to use your input data solely to provide and improve the Services.

6. Output and Accuracy

The Brandstract API, Brand Truth Score, and related outputs are provided for informational purposes. While we strive for accuracy, we make no warranty that outputs are complete, current, or error-free. You are solely responsible for evaluating the suitability of any output for your intended use and for any decisions made based on such output. You agree not to rely on any output as the sole basis for decisions that may have significant consequences.

7. Disclaimers

Our Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, error-free, or free of viruses or other harmful components. We make no warranties about the accuracy, reliability, or completeness of any content, data, or outputs provided through the Services.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Brandstract and its directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from or related to your use of, or inability to use, the Services, even if Brandstract has been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising from or related to these Terms or the Services shall not exceed the greater of (a) the total amounts you have paid to Brandstract in the twelve months immediately preceding the claim, or (b) one hundred pounds sterling (£100).

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Brandstract and its directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.

Our Services may contain links to third-party websites or services that are not owned or controlled by Brandstract. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit. The inclusion of any link does not imply endorsement by Brandstract.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, all licences granted to you under these Terms will immediately cease.

12. Changes to Terms

We may revise these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. For material changes, we will make reasonable efforts to notify affected users. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should discontinue use of the Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, provided that Brandstract may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of its intellectual property rights.

14. General

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms constitute the entire agreement between you and Brandstract with respect to the Services and supersede all prior or contemporaneous communications. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
